Kyberbyte provides software and related services designed to help customers review and assess Microsoft 365 licensing, usage, configuration, optimisation opportunities, and related reporting information.
Services may include website content, account sign-in, workspace and tenant management, Microsoft 365 consent and connection flows, automated or manual scans, preview reports, paid reports, downloadable outputs, dashboards, support communications, and related paid or unpaid features.
We may update, improve, replace, suspend, or discontinue any part of the Services from time to time.
Unless we expressly agree otherwise in writing, the Services are intended for business, professional, and organisational use.
If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms and that the organisation is responsible for activity carried out through its account, workspace, or authorised users.

You are responsible for activity carried out using your account or credentials unless caused by our breach.
Where the Services allow you to connect a Microsoft 365 tenant or similar environment, you confirm that you have lawful authority to connect that environment, grant the permissions required for the scan or analysis, and instruct us to process relevant data for the purpose of providing the Services.
You must not connect any tenant, system, or environment unless you are authorised to do so.
The Services provide analysis, estimates, recommendations, indicators, and reports based on data available to us at the time of processing.
The Services do not constitute legal, accounting, tax, procurement, or guaranteed savings advice. You remain responsible for checking whether any recommendation is suitable for your users, business needs, compliance obligations, contracts, and technical environment before making any change.
The usefulness of the Services depends on the quality, scope, freshness, and availability of source data, permissions, third-party APIs, and tenant configuration. Outputs may be incomplete where source data is unavailable, restricted, delayed, inconsistent, or inaccurate. Product names, licensing rules, pricing, and bundled entitlements may change over time.
We do not warrant that every report, recommendation, or estimated saving will be error-free, exhaustive, or achieve a specific financial outcome.
We may offer free previews, limited scans, verification scans, one-off report purchases, subscription plans, premium monitoring, or other paid entitlements.
The scope, features, usage limits, validity periods, and pricing of each offering will be described on the website, checkout page, portal, proposal, or order form in force at the time of purchase.
When you purchase a paid Service, you agree to pay all fees, charges, and applicable taxes shown at checkout or otherwise agreed in writing.
Payments may be processed by third-party providers. We do not intentionally store full payment card details. If payment fails, we may suspend or restrict access to paid features until payment is successfully received.
We offer a limited accuracy refund policy for eligible paid reports. Our report findings are based on Microsoft source data made available to us at the time of the scan — including user states, licence assignments, account status, usage signals, and related tenant data.
If a factual finding in a paid report is materially incorrect because we have incorrectly processed, interpreted, or presented the Microsoft source data used for that finding, you may request a full refund for that report. A factual finding means a statement about the underlying tenant data at the time of the scan. It does not include projections, recommendations, estimated savings, optimisation scoring, prioritisation, or forward-looking judgements.
Refund requests must be submitted in writing to [email protected], identify the report and the finding said to be incorrect, and include reasonable detail explaining why the finding is factually incorrect. We aim to respond within seven working days.

All intellectual property rights in the website and Services — including software, methodology, branding, layout, text, graphics, logic, report structure, scoring models, and underlying know-how — are owned by or licensed to us.
You retain ownership of data you submit or authorise us to access. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, analyse, and use that data as necessary to provide, secure, maintain, and improve the Services and to comply with law.
We process personal data in accordance with our Privacy Policy and, where applicable, our Data Processing Addendum.
You are responsible for ensuring you have an appropriate lawful basis and all required notices, permissions, and internal approvals for any personal data or organisational data made available to us through your use of the Services.
Each party may receive confidential information relating to the other party's business, systems, pricing, customers, reports, security, or operations. The receiving party must keep such information confidential and not disclose it except:

The Services may depend on or interact with third-party services, including identity providers, payment processors, cloud platforms, Microsoft services, APIs, and hosting providers.
We are not responsible for third-party outages, policy changes, pricing changes, API changes, or decisions made by third-party providers except to the extent caused by our own breach.
We will use reasonable care and skill in providing the Services, but we do not guarantee uninterrupted or error-free availability. Scheduled maintenance, emergency maintenance, upgrades, security incidents, third-party outages, and events outside our reasonable control may affect availability.
Any support levels or response commitments apply only where expressly set out in writing.
We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay amounts due, we reasonably suspect fraud, misuse, or a security risk, or continuing to provide the Services would expose us or others to legal, regulatory, or technical risk.
You may stop using the Services at any time. If you hold a subscription, cancellation will usually take effect at the end of the current paid billing period unless stated otherwise.
On termination, your right to use the Services ends immediately. Clauses intended to survive termination will continue, including those relating to payment, confidentiality, intellectual property, disclaimers, and liability.
If you provide or access the Services as a managed service provider, reseller, consultant, or advisor for one or more end customers, you must ensure that you are authorised by each relevant end customer to connect, analyse, access, and act in relation to their tenant, environment, and data.
Unless we expressly agree otherwise in writing, you remain responsible for end-customer relationships, permissions, instructions, and compliance by your users and customers.
Any alpha, beta, preview, pilot, or early access feature is provided for evaluation purposes only and may be incomplete, unstable, or changed, suspended, or withdrawn at any time without notice.
To the fullest extent permitted by law, beta and preview features are provided without any commitment as to availability, support, performance, or continuity.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

You will indemnify and keep us indemnified against losses, claims, costs, and liabilities arising from your breach of these Terms, your unlawful use of the Services, your lack of authority to connect a tenant or data source, or your infringement of third-party rights.
Where the Services involve us processing personal data on your behalf as processor, our Data Processing Addendum forms part of these Terms.
If we expressly supply Services to an individual acting wholly or mainly outside their trade, business, craft, or profession, mandatory consumer rights that apply by law will prevail over any conflicting part of these Terms.
We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you — such as by posting an updated version on the website, through the portal, or by email. By continuing to use the Services after the updated Terms take effect, you agree to the revised Terms.
These Terms and any non-contractual disputes arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction unless mandatory law requires otherwise.
